The book argues that the margin of appreciation doctrine prevents courts from imposing unhelpful uniformity, whilst allowing decisions to be consistent with the universality of human rights. Part Two considers the key case law of the European Court of Human Rights, the Inter-American Court of Human Rights, and the UN Human Rights Committee, documenting the margin of appreciation in practice. The analysis uniquely takes a broad look at the factors affecting the margin of appreciation. If you build a System which performs the Monetary Progression Function, it will perform the Monetary Progression Function. It's that simple. If we know what the primary top level Function a System is built to do, we can know Absolutely what it will do, before it does it. Though we can't know how accurately or how fast the Implementation will do it. We have been watching and measuring the compliance of the Implementation do it. It doesn't matter if you build a Machine out of Lehman Brothers, Electronic Vacuum Tubes, or Tinkertoys. All Systems do what they are built to do.

This objective is massive in scope, because Operation Barbarossa, the German invasion of the Soviet Union, was massive in scale, arguably the largest military operation of all time. In the single Battle of Kiev, for example, the Red Army lost over 600,000 prisoners, and twice as many men killed as the United States lost in the entire Vietnam War. The campaign also changed the world forever. Before Barbarossa, Hitler's Wehrmacht seemed invincible, like an unstoppable force of nature. No one, it seemed, could check the Führer's ambitions, much less defeat him. (The Battle of Britain, of course, was seen as a defeat for the Luftwaffe rather than the Wehrmacht. The German Army was still undefeated, and it was by no means clear in the spring of 1941 that German pilots would not yet finish off the United Kingdom.) Barbarossa changed all of that. By the end of 1941, Allied victory seemed to be a very real possibility. Few would have bet on it 16 or 17 months earlier.
Pitting Germany in total war against the Soviet Union on a 1,000-mile front, Operation Barbarossa was truly staggering in its magnitude. Wars, however, are not fought by numbers, they are fought by men. Very often, writers stereotype German officers into two categories: Prussian gentlemen or Nazi monsters. There were, of course, both-but there were also varying shades of gray. In this book we learn of the goats and heroes, famous commanders and undersung leaders, and about those who were willing to stand up to the Führer and those who subordinated themselves to his will. Sometime in April 1285, five Muslim horsemen crossed from the Islamic kingdom of Granada into the realms of the Christian Crown of Aragon to meet with the king of Aragon, who showered them with gifts, including sumptuous cloth and decorative saddles, for agreeing to enter the Crown's service.

They were not the first or only Muslim soldiers to do so. Over the course of the thirteenth and fourteenth centuries, the Christian kings of Aragon recruited thousands of foreign Muslim soldiers to serve in their armies and as members of their royal courts. Based on extensive research in Arabic, Latin, and Romance sources, The Mercenary Mediterranean explores this little-known and misunderstood history. Far from marking the triumph of toleration, Hussein Fancy argues, the alliance of Christian kings and Muslim soldiers depended on and reproduced ideas of religious difference. Do something enough and you get good at it. Just as you have built your expertise, my colleagues and I have had the privilege to peek behind the curtain at over 15,000 companies - reviewing financial statements, meeting with leadership, and seeking to understand what makes each company tick.
Talking with hundreds of business owners, we noticed that many of the same questions, concerns, and thoughts repeat. And that makes sense. Just as all businesses share many commonalities, sellers of those businesses will have mostly similar experiences, with differences in personality, motivation, and situation driving the nuance.
This book attempts to demystify deal-making from a seller's point of view. As much as the finance industry likes to pretend to be "buttoned up," investors and bankers are largely disorganized, and the process is unnecessarily shrouded in mystery. It's a messy marketplace, with every type, temperament, and motive imaginable.
The goal of this book is to help sellers, the families of sellers, sellers' advisors, and company leadership to understand the market for smaller companies, allowing them to make better decisions and create better outcomes.
Our hope is that you walk away from this book better prepared to understand the path forward, the vantage points of everyone involved, and the process of a transition through a transaction with an outside investor.
This is the second edition of "The Messy Marketplace." When initially drafted in 2017, we had a little over 10 years under our belt. In the subsequent years, we've seen the marketplace and valuations continue to evolve, endured a pandemic, and made more than a dozen new investments. While most of the original text is intact, the updates underscore what's new or increasingly important when trying to successfully do a deal.
